1. The Service

Vetrade is a trade verification and due diligence tool operated by Unceasing Impex, an Indian import-export business. The Service queries publicly available data sources and government APIs to generate a trust score and risk report about a named supplier, buyer, or trading entity. These reports are provided for informational purposes only and are intended to assist — not replace — your own commercial judgement and due diligence process.

The Service is accessible via:

• The web application at vetrade.unceasingimpex.com
• The Vetrade WhatsApp bot (operated via Twilio)

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use this Service. By using Vetrade, you represent that you meet these requirements. The Service is intended for use by businesses and trade professionals. You must not use the Service to run checks on individuals in a personal capacity where such use would violate applicable privacy laws.

3. Account Registration and Security

You must register an account using a valid Indian mobile number. You are responsible for:

• Maintaining the confidentiality of your login credentials and session
• All activity that occurs under your account
• Notifying us immediately if you suspect unauthorised access
• Ensuring that the information you provide to us is accurate and current

We reserve the right to suspend or terminate accounts that show signs of abuse, excessive automated querying, or activity that violates these Terms.

4. Subscription Plans and Payments

4.1 Plans

Vetrade is offered on a tiered subscription basis: Free (₹0/month), Pro (₹499/month), and Business (₹1,999/month). Plan features and monthly verification limits are as described on the pricing page at the time of subscription. We reserve the right to modify pricing with 30 days' advance notice.

4.2 Billing

Paid plans are billed monthly in advance. Payments are processed by third-party payment providers. By subscribing, you authorise recurring charges to your selected payment method. All prices are in Indian Rupees (INR) and inclusive of applicable GST where required.

4.3 Refunds

Subscription fees are generally non-refundable. If you believe you have been charged in error or have experienced a significant service disruption, contact us at support@semperworks.com within 7 days of the charge and we will review your case on its merits.

5. Acceptable Use

You agree that you will NOT use the Service to:

• Violate any applicable Indian or international law or regulation
• Conduct automated, bulk, or scraping queries beyond normal commercial use
• Attempt to reverse-engineer, circumvent, or overload our systems
• Use the Service to harass, defame, or unfairly damage the reputation of any entity
• Resell, redistribute, or sublicense the Service or its outputs without written permission
• Submit false or fabricated company details to manipulate verification results
• Use outputs from the Service as sole justification for publishing accusations of fraud
• Access data about individuals in a manner that constitutes personal profiling under Indian law

6. Data Accuracy, Limitations, and No Guarantee

6.1 Government Data Sources

Data from the GST Portal (GSTN), DGFT (IEC registry), and MCA21 is sourced via official APIs. These databases may be updated with delays. A GST registration that appears "Active" in our system may have been cancelled by the time you read it, and vice versa. Unceasing Impex is not responsible for discrepancies between our output and the current state of government records.

6.2 Digital and Social Signals

Checks on Google Business, LinkedIn, domain registration, and news sources rely on search and web APIs that may return incomplete, outdated, or incorrect information. In particular:

• A company with no Google or LinkedIn presence is not necessarily fraudulent — many legitimate exporters have minimal digital footprint
• A company with a strong online presence is not necessarily legitimate
• News scan results may relate to an entity with a similar name — human verification is essential before drawing conclusions
• Domain registration data may not reflect current ownership due to privacy proxies

6.3 AI-Generated Risk Summaries

The risk assessment summary in each report is generated by a large language model (Anthropic Claude). AI outputs are probabilistic and may contain factual errors, misinterpretations, or advice that is not appropriate for your specific situation. AI-generated content is provided for informational purposes only and does not constitute legal, financial, or professional advice.

You should not rely solely on an AI-generated summary to make significant commercial decisions, including but not limited to: releasing advance payments, opening letters of credit, signing contracts, or making public statements about a trading party.

6.4 The Trust Score

The numerical trust score produced by Vetrade is a weighted composite of available signals at the time of the check. It is an indicative risk signal — not a credit rating, background check, or legal verification. A high score does not guarantee the legitimacy of a business, and a low score does not confirm fraud. Scores will vary based on the data provided and the availability of third-party sources.

6.5 Not a Substitute for Due Diligence

Vetrade is designed to accelerate — not replace — commercial due diligence. Before committing to a significant transaction, you should independently verify key information, conduct a video call with the counterparty, review physical documents, and where appropriate, engage a professional verification or legal service.

7. Intellectual Property

The Vetrade platform, including its software, design, brand name, scoring algorithms, and user interface, is the intellectual property of Unceasing Impex. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own commercial due diligence purposes.

Verification reports generated for your account are yours to use for your own internal business purposes. You may not resell, republish, or use report data to build a competing service without our express written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

Our total aggregate liability to you for any claim arising out of or in connection with the Service shall not exceed the amount you paid to us in the 3 months preceding the event giving rise to the claim, or ₹1,000, whichever is greater.

In particular, we are not liable for any loss arising from:

• Trade decisions made based on a Vetrade verification report
• Inaccurate, incomplete, or outdated data returned by third-party sources
• Errors or hallucinations in AI-generated risk summaries
• Temporary unavailability of government APIs affecting report completeness
• Fraud, default, or misconduct by a supplier or buyer that a Vetrade check did not flag
• Your failure to conduct independent due diligence in addition to using the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless Unceasing Impex, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content or data you submit to the Service.

11. Third-Party Services

The Service relies on third-party APIs and services including Twilio, Supabase, Anthropic, Google, and government portals. We are not responsible for the availability, accuracy, or terms of these services. Your use of the Service is also subject to the terms and policies of any third-party services involved in delivering verification results.

Links to third-party websites in reports (e.g., Google Business, LinkedIn) are provided for convenience. We do not endorse or control those websites and are not responsible for their content.

12. Service Availability and Modifications

We strive to keep Vetrade available continuously but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, upgrades, or in response to circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance.

We reserve the right to modify, add, or remove features of the Service at any time. For material changes that affect paid subscribers, we will provide at least 14 days' notice.

13. Termination

You may close your account at any time by contacting us at support@semperworks.com. Upon closure, your data will be handled as described in the Privacy Policy.

We may suspend or terminate your account immediately, without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the security of the Service or other users.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.

Before initiating legal proceedings, you agree to first contact us at support@semperworks.com and attempt to resolve the dispute amicably within 30 days.

15. Changes to These Terms

We may update these Terms & Conditions from time to time. The "Last updated" date at the top of this page will reflect the most recent revision. For material changes, we will notify you via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Unceasing Impex regarding the use of Vetrade.
